Clear terms for runningyour business on Spark

These Terms of Service are an agreement between 1xAI ("Spark", "we", "our", or "us") and the person or company using Spark ("you"). By creating an account, accepting an invitation, purchasing a plan, or using Spark, you agree to these terms and our Privacy Policy.

If you use Spark for a company, you confirm that you are authorized to accept these terms for that company. If you do not agree, do not use Spark.

A company workspace is administered by the customer that creates or purchases it. Company administrators decide who may join, which modules are enabled, and what each role can see or change.

• Provide accurate registration, company, and billing information.
• Keep passwords, devices, one-time codes, and connected accounts secure.
• Use a separate user identity for each person; do not share staff logins.
• Remove access promptly when a user no longer works with or represents your company.
• Tell us promptly if you suspect unauthorized access or misuse.

You are responsible for activity performed through your workspace and for configuring roles appropriate to your organization.

You may use Spark for lawful business operations and in line with the product documentation. You must obtain any notices, permissions, or employee and customer consents required for the information you collect.

You may not:

• Use Spark for fraud, harassment, unlawful surveillance, discrimination, or any illegal activity.
• Upload malware, harmful code, or content that infringes another person's rights.
• Probe, bypass, disable, or interfere with security, role controls, usage limits, or other customers.
• Reverse engineer or copy Spark except where applicable law expressly permits it.
• Resell, sublicense, or provide Spark as a service bureau without our written permission.
• Use automated traffic that degrades the service or exceeds documented integration limits.

We may investigate misuse and restrict harmful activity to protect users, Spark, and third parties.

Your company retains ownership of the business records, images, documents, and other content it enters into Spark. You give us a limited right to host, process, transmit, back up, and display that content only as needed to provide, secure, support, and improve the service.

You confirm that you have the rights and permissions needed to submit the content and instruct us to process it. You are responsible for the accuracy of operational, payroll, tax, accounting, inventory, and payment records entered by your users.

Our handling of personal information, retention, location, camera access, AI processing, and deletion requests is described in the Privacy Policy.

Spark may use AI to read or compare information in images, receipts, invoices, business records, and user questions. AI output can be incomplete or wrong. It is an aid, not a substitute for human review, professional advice, or an official accounting, tax, employment, safety, or legal decision.

You are responsible for reviewing AI-generated values before approving payments, payroll, reports, or other consequential actions.

Optional integrations such as WhatsApp, payment providers, cloud storage, maps, app stores, or agent connectors may be governed by the third party's terms. We are not responsible for a third-party service outside our control.

Some Spark features are free and others require a paid plan. Prices, included usage, taxes, billing period, and renewal terms are shown when you order or in a separate written agreement. Unless stated otherwise, fees are charged in advance and are non-refundable except where required by law.

You authorize the selected payment provider to charge the payment method associated with your order. If payment is overdue, we may limit paid features after reasonable notice. You remain responsible for amounts incurred before cancellation.

Payment providers process card or bank credentials under their own terms and privacy notices. Spark does not promise that every payment method will remain available.

We work to keep Spark available and secure, but no online service is uninterrupted. Maintenance, internet or mobile outages, device limitations, third-party failures, emergencies, and events beyond reasonable control may affect access.

We may improve, replace, or discontinue features. When a material change affects a paid feature, we will provide reasonable notice where practical. Preview, beta, and experimental features may change or end without notice.

You should keep appropriate exports and business continuity procedures for records that are critical to your operations.

You may stop using Spark at any time. Company owners can ask us to cancel a subscription, export workspace data, or close a workspace by contacting onexai.inc@gmail.com.

We may suspend or terminate access for material breach, non-payment, fraud, security risk, unlawful conduct, or harm to Spark or others. When practical, we will give notice and an opportunity to correct the issue.

After closure, data is handled according to our Privacy Policy and applicable retention obligations. Terms that by their nature should continue—including ownership, payment obligations, disclaimers, and limits of liability—survive termination.

To the maximum extent permitted by law, Spark is provided "as is" and "as available". We do not guarantee that the service or AI output will be error-free, uninterrupted, or suitable for every legal, accounting, payroll, tax, safety, or operational requirement.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data. Our total liability arising from Spark will not exceed the amount you paid us for the service during the twelve months before the event giving rise to the claim. If you used only free services, our total liability will not exceed US$100.

These exclusions do not apply where prohibited by law or to liability that cannot legally be limited. Nothing in these terms removes statutory rights that cannot be waived.

We may update these terms as Spark, integrations, or legal requirements change. We will post the revised terms and update the date above. For material changes, we will provide additional notice where practical. Continued use after the effective date means you accept the revised terms.

These terms, the Privacy Policy, an applicable order, and any signed agreement form the complete agreement for Spark. If a signed agreement conflicts with these online terms, the signed agreement controls. You may not transfer your rights without our consent; we may transfer this agreement as part of a merger, financing, reorganization, or sale of the business. If one provision is unenforceable, the remaining provisions continue.

Applicable law governs these terms, without regard to conflict-of-law principles. Courts with jurisdiction over 1xAI's principal place of business will have exclusive jurisdiction unless consumer or other mandatory law requires otherwise.
